The Last Chance Music Foundation Ltd is a not-for-profit company limited by guarantee. This is a common corporate structure used by not-for-profit and charitable organisations in Australia that reinvest any surplus (profit) towards the organisation’s purposes. TLCMF’s purposes are set out in it’s constitution and can be viewed here. A ‘company limited by guarantee’ structure is particularly suited for conducting non-profit activities because it means the company:
- is unable to issue shares and therefore no person can acquire a controlling interest or profit from a share sale;
- is unable to pay dividends to shareholders;
- is directed, and must use its resources, towards its constitutional purpose, rather than shareholder interests;
- has formal compliance obligations to the Australian Securities & Investments Commission; and
- can be registered with the Australian Charities and Not-for-profits Commission and Register of Cultural Organisations which provide additional requirements both as to the charitable purpose of the company as well as compliance and oversight.
