This is a common corporate structure used by not-for-profit and charitable organisations in Australia that reinvest any surplus (profit) towards the organisation&#8217;s purposes. TLCMF&#8217;s purposes are set out in it&#8217;s constitution and can be viewed <a href=\"https:\/\/thelastchancemusicfoundation.org\/index.php\/purpose\/\" data-type=\"page\" data-id=\"15\">here<\/a>. A &#8216;company limited by guarantee&#8217; structure is particularly suited for conducting non-profit activities because it means the company:<\/p>\n\n\n\n<ul style=\"padding-right:var(--wp--preset--spacing--50);padding-left:var(--wp--preset--spacing--50)\" class=\"wp-block-list\">\n<li>is unable to issue shares and therefore no person can acquire a controlling interest or profit from a share sale;<\/li>\n\n\n\n<li>is unable to pay dividends to shareholders;<\/li>\n\n\n\n<li>is directed, and must use its resources, towards its constitutional purpose, rather than shareholder interests; <\/li>\n\n\n\n<li>has formal compliance obligations to the <em>Australian Securities &amp; Investments Commission<\/em>; and<\/li>\n\n\n\n<li>can be registered with the <em>Australian Charities and Not-for-profits Commission<\/em> and <em>Register of Cultural Organisations<\/em> which provide additional requirements both as to the charitable purpose of the company as well as compliance and oversight.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Donate<\/h2>\n\n\n\n<p>Thank you for your interest in donating to TLCMF. <\/p>\n\n\n\n<p>TLCMF is a registered charity with the <em>Australian Charities and Not-for-profits Commission<\/em>.
